Trilegal, K&L Gates, Baker & McKenzie, AZB act on Wipro's $375 million acquisition of Mindsprint from Olam

Pursuant to the transaction, Wipro will deliver end-to-end transformation services to Olam Group.

Olam Group Limited has sold off its entire (100%) shareholding in Mindsprint Pte. Ltd. to Wipro Networks Pte. Ltd., a subsidiary of Wipro Limited for $375 million.

Trilegal acted as the lead transaction counsel for the Olam Group and was involved in negotiating and finalising the Share Purchase Agreement and all ancillary transaction documents. The Frim also assisted the Group in awarding an eight-year strategic transformation deal to Wipro with a committed annual spend of $100 million.

K&L Gates advised the Olam Group on Singaporean and Australian law aspects.

The transaction team consisted of David Kuo (Partner), Meraj Noor (Partner), and Ying Chern Tan (Counsel).

Baker & McKenzie advised Wipro on this acquisition, alongside the Wipro in-house legal team.

The Baker transaction team consisted of Mohammed Almarini (Partner) and Max Nederlof (Senior Associate).

Wipro team included Nils Vernooji - Associate General Counsel and Ishani Sen Gupta - Senior corporate counsel.

AZB & Partners advised Wipro on the Indian law aspects of the transaction.

Pursuant to the transaction, Wipro will deliver end-to-end transformation services to Olam Group through a consulting-led and AI-powered approach. The engagement will draw on Wipro’s industry expertise, partnerships with leading technology providers, and Wipro Intelligence, its unified suite of AI powered platforms, solutions, and transformative offerings.
