Cyril Amarchand Mangaldas, Trilegal, A&O Shearman act on Adani Enterprises ₹15,000 crore QIP

This is the largest qualified institutional placement of equity shares undertaken by a non-banking company in India.

Adani Enterprises Limited has raised ₹15,000 crore from a qualified institutional placement of equity shares.

Cyril Amarchand Mangaldas advised Adani Enterprises on this QIP.

The transaction was led by Devaki Mankad (Partner, Regional Co-Head - Capital Markets - West), with support from Rishav Buxi (Principal Associate), Adwait Deshmukh (Senior Associate); Associates Archit Jain, Arikta Shetty, Janhavi Deshmukh, Harsha Menon, Akshat Sharma and Sajal Soni.

Trilegal advised the placement agents, SBI Capital Markets Limited, ICICI Securities Limited, IIFL Capital Services Limited and Jefferies India Private Limited, and on this QIP.

The transaction was led by Richa Choudhary (Partner) and Maitreya Rajurkar (Partner), with support from Avanti Kale (Counsel), Aayush Khandelwal (Senior Associate) and Associates Siddhant Mishra, Adya Singh, Arnab Goswami, Samruddhi Varma, and Shreyansh Gupta.

Both the Firms had previously advised on the 2024 QIP on Adani Enterprises.

A&O Shearman served as the international legal counsel to the placement agents on this IPO.

The transaction was led by Pallavi Gopinath Aney (Partner), with support from Kyungwon (Won) Lee (Partner), Nabil Shadab (Senior Associate) and Shinjan Alok (Associate).

The proceeds of the QIP are expected to support Adani Enterprises' next phase of growth, including the capital expenditure requirements for the development of a polyvinyl chloride (PVC) plant, payment of the concession fee for the Chennai Outer Ring Road project, the repayment or prepayment of certain borrowings, funding inorganic growth opportunities, and general corporate purposes.
