ELP advises Transworld on forming JV with Bainbridge to operate UAE shipping pool

Transworld is to hold 60% and Bainbridge is to hold 40% in the proposed joint venture company.

Transworld Shipping Lines Limited is set to form a joint venture with Bainbridge Navigation DMCC to establish a company in the United Arab Emirates to operate a shipping pool focused on handysize vessels in the dry bulk market, wherein Transworld is to hold 60% and Bainbridge is to hold 40%.

Economic Laws Practice advised Transworld on all aspects of the transaction, including the cross-border joint venture structure, and drafted, reviewed and negotiated the term sheet and joint venture agreement.

The transaction team consisted of Sujjain Talwar (Co-Founding Partner) and Vinit Shah (Associate Partner).

The JV is intended to bring together Transworld’s vessels and commercial capabilities with Bainbridge’s capabilities to develop and scale the pool.
