FleetX Technologies Private Limited has acquired Pando.ai, a AI-powered Transportation Management System (TMS) company.

JSA Advocates & Solicitors advised FleetX on this acquisition. The Firm advised on all aspects of the transaction, including conducting legal due diligence on Pando, structuring, negotiating and finalising the definitive transaction documents, and assisting with pre-closing, closing and post-closing actions.

The transaction was led by Archana Tewary (Partner), with support from Associates Vidisha Shetty and Rishi Sandill, and Sanchari Sengupta (Junior Associate).

The transaction brings together Pando.ai's market-leading freight planning and execution capabilities with FleetX's fleet visibility and AI capabilities to create a unified, end-to-end AI-powered platform spanning fleet visibility through freight execution.

Following the acquisition, Pando.ai will continue to operate as a distinct brand, with its leadership team continuing to lead the business, while FleetX plans to further invest in Pando.ai's products and AI capabilities. The combined platform is expected to accelerate the adoption of AI-led automation across India's rapidly evolving logistics and physical operations ecosystem.
