RSD Bajaj Global Law Firm is looking for a senior associate with expertise in General Corporate, Venture Capital (VC) and Private Equity (PE) transactions to join our core team at DLF Phase 1, Gurugram.
We are looking for a senior lawyer who has proven legal acumen in handling PE/VC transactions and general corporate advisory.
This is not a conventional law firm role. You will be working directly with the Founding Managing Partners on high-value mandates advising leading new economy companies, including unicorn startups, growth-stage companies and established corporates.
Technical Qualifications:
4-7 years PQE in General Corporate, Venture Capital and/or Private Equity transactions
Strong drafting and negotiation skills across transaction documents (SHA, SSA, SPA, JV Agreements, Term Sheets)
Sound understanding of Companies Act, 2013, FEMA, RBI regulations, SEBI rules
Experience in due diligence, structuring and closure of VC/PE deals
Completed Law (3/5 Year) with Certificate of Practice issued by BCI
Interest/know-how of Data Privacy and Intellectual Property laws will be a plus
Basic Responsibilities:
Lead and manage VC/PE transactions end-to-end including structuring, documentation and closure
Draft, negotiate and advise on key commercial agreements (SHA, SSA, SPA, JV, commercial contracts, MOUs, NDAs)
General corporate law advisory including legal opinions around Companies Act, FEMA, RBI circulars, SEBI regulations
Mentor and guide junior associates on the team
Contribute to building the firm's corporate/VC-PE practice
