KKR has acquired the entire stake held by Medicover in Sahrudaya Health Care Private Limited, the parent corporate entity behind Medicover Hospitals in India, for an equity consideration of approximately €1.2 billion.

Cyril Amarchand Mangaldas represented Medicover on this transaction.

The transaction was led by Reeba Chacko (Senior Partner) and Kota Chandan (Partner), with support from Yash Chadha (Associate).

Lakshmi Prakash (Partner) advised on the third-party financing repayment structuring and ECB assignment.

Bharath Reddy (Partner). with support from Dipti Khatri (Principal Associate) advised on the ESOP settlement mechanism.

Arpita Sengupta (Partner). with support from Yash Chadha (Associate) advised on the transitional license agreement.

Sharada Ramachandra (Partner) advised on certain corporate matters.

Trilegal advised the minority shareholders of Medicover India on the sale of their stake in the company to KKR. The Firm advised on transaction structuring and definitive documents.

The transaction was led by Fatema Orjela (Partner) and Zoe Woodhouse (Counsel), with supported from Medicover’s Relationship Partner, Lisa Goransson (Corporate/M&A), Associates Arjun Sehgal and Raees Khan. 

AZB & Partners advised KKR on this transaction.

Medicover India is a multi-specialty hospital network operating 26 hospitals across Telangana, Andhra Pradesh, Karnataka and Maharashtra.

The transaction supports Medicover’s strategy to accelerate investment in its core European markets while strengthening its financial position.

The transaction is subject to regulatory approvals.
