

DMD Advocates acted as legal counsel to New Delhi Centre for Sight (NDCFS), one of India’s leading eye care hospital chains, in connection with its strategic expansion across India through a series of acquisitions, business transfers and strategic partnership transactions.
The transactions comprised:
the acquisition of Saraswati Nethralaya, Haryana;
the acquisition of equity and collaboration with Mehta Eye Clinic Private Limited, Maharashtra;
the acquisition of Jhamwar Eye Hospital, Maharashtra;
a strategic joint venture collaboration and investment transaction with Ratan Jyoti Netralaya, Madhya Pradesh;
a strategic joint venture collaboration and investment transaction with Paliwal Eye Hospital, Rajasthan;
the acquisition of equity and collaboration with Dr. Subodh Agarwal Memorial Eyecare Private Limited, Uttar Pradesh; and
the acquisition of Confetti Holdings Private Limited, Guwahati.
DMD advised NDCFS throughout the lifecycle of the transactions, including conducting legal due diligence on certain target entities, structuring, drafting and negotiating the definitive documents, advising on regulatory and commercial aspects, and assisting with the satisfaction of closing conditions and overall transaction completion.
The transactions were led by Rashi Dhir (Senior Partner & Head of Corporate) and Tarinee Sudan (Partner), with support from Priyanka Hazarika (Senior Associate), Associates Srishti Pandey, Jasmine Brar, Sarvagya Shankar, Shriya Sehgal and Rohan Chatterjee.
Collectively, these transactions represent a significant milestone in NDCFS’s pan-India growth strategy, strengthening its presence across multiple states and further expanding its network of eye care facilities.
