DSK Legal acts on Eris Lifesciences acquiring Velbiom's probiotics business

Velbiom Probiotics Private Limited has made a transfer of its branded prescription-based probiotics business to Eris Lifesciences Limited on a slump sale basis, for a consideration of ₹50 crore.

DSK Legal assisted and advised Velbiom Probiotics on this transaction. The Firm's scope of work included drafting, reviewing, revising, negotiating and finalizing the business transfer agreement, trademark assignment deed, and ancillary documents required to consummate the Transaction; and assisting in the closing of the Transaction.

The transaction team consisted of Sharath Chandrasekhar (Partner), Aravind Karunakaran (Associate Partner), Srinandini Kar (Senior Associate) and Arjun Mallik (Associate).

Velbiom's probiotics portfolio includes Lactogut, Lactogut UG and Lactovit, which will strengthen Eris Lifesciences' position in the metabolic wellness and women’s healthcare space.
