Khaitan, Emerald Law guide Poggipolini into India with majority stake acquisition in Aero Fasteners

Italian aerospace engineering and manufacturing tech company Poggipolini S.p.A has acquired a majority stake in Aero Fasteners Private Limited.

Khaitan & Co advised Poggipolini on this stake acquisition.

The core transaction team consisted of Prasenjit Chakravarti (Partner), Nitish Goel (Partner), Govinda Toshniwal (Counsel), Natansh Jain (Senior Associate) and Mohnish Singh (Associate) with assistance from the following:

Direct tax aspects: Shaily Gupta (Partner) and Bharat Jain (Principal Associate);

Indirect tax aspects: Sudipta Bhattacharjee (Partner) and Arjyadeep Roy (Principal Associate);

Employment law aspects: Abhinav Rastogi (Partner).

Emerald Law Offices advised Aero Fasteners and the selling shareholders on this transaction. The Firm's role included advising on the overall transaction structure, conducting detailed negotiations, drafting and finalizing the suite of definitive agreements, and providing extensive assistance during the closing process.
