SAM advises JTRF on Railway Wheel and Axle Production Line Agreements

Shardul Amarchand Mangaldas & Co has advised Jupiter Tatravagonka Railwheel Factory Private Limited on two separate sets of agreements: (i) with MAG Germany and MAG India for the supply, erection and commissioning of state-of-the-art production lines for railway wagon axles; and (ii) with Honor Seiki Co., Ltd. for the supply, erection and commissioning of state-of-the-art production lines for railway wagon wheels.

The transactions involved a multi-jurisdictional contracting framework, with MAG Germany and MAG India supplying and commissioning the axle line, and Honor Seiki supplying and commissioning the wheel line. The deal was structured through a series of supply and service agreements designed to streamline the procurement and commissioning process across India, Germany, and Taiwan respectively.

Shardul Amarchand Mangaldas & Co acted as legal counsel to JTRF, advising on the transaction structure, drafting and negotiation of the supply and service agreements, and coordinating closing formalities across multiple jurisdictions.
