Cyril Amarchand Mangaldas advised Cerberus Capital Management, L.P on the Indian legal aspects on its acquisition of a substantial part of the mechanical engineering division of Goodwin PLC for up to approximately £1.1 billion.

The Firm's role focused on conducting due diligence on Goodwin Pumps India Private Limited, a wholly owned Indian subsidiary of Goodwin PLC; advising on the definitive documentation giving effect to the Transaction, including intra-group restructuring documents; and advising on the transfer of the carved-out assets of Goodwin Pumps India Private Limited.

The transaction was led by Iqbal Khan (Senior Partner), Ashid Basheer (Partner), with support from Pranav Tolani (Principal Associate), Pranav Bajaj (Senior Associate), Associates Ishaan Kulshrestha and Pratham Shah.

Avaantika Kakkar (Partner, Head - Competition), with support from Rajat Sharma (Principal Associate) advised on competition aspects of the transaction.

Harsha Sudhindra (Partner), with support from Esther Joshua Philip (Director - Real Estate) and Sruthi Ramesh (Associate) advised on real estate aspects of the transaction.

Ankita Ray (Partner), with support from Soumyashree Chowdhury (Senior Associate) and Saksham Kumar (Associate) advised on employment aspects of the transaction.

Kunal Savani (Partner), with support from Vaibhav Zaveri (Consultant) advised on tax aspects of the transaction.

Davis Polk & Wardwell served as the principal legal adviser to Cerberus on this transaction.

The transaction is expected to close in Q1 2027, subject to receipt of required regulatory approvals and satisfaction of other customary closing conditions.
