The Guardian Life Insurance Company of America has divested its stake in Guardian India Operations Private Limited, Guardian's Technology & Operations Global Capability Centre (GCC) based in India, to HCL Technologies Limited.

Cyril Amarchand Mangaldas advised Guardian Life Insurance Company of America on this stake divestment.

The transaction was led by Akila Agrawal (Senior Partner), Megha Bhargava (Partner) and Sreetama Sen (Partner), with support from Udyan Arya Shrivastava (Principal Associate), Kumar Mangalam (Senior Associate) and Pallav Gupta (Senior Associate), Associates Devansh Dixit and Siddharth Tiwari.

SR Patnaik (Partner, Head - Taxation), with support from Reema Arya (Consultant), Shivam Garg (Principal Associate), Hansujja Padhy (Associate) advised on taxation law aspects of the transaction.

Sowmya Kumar (Partner), with support from Luv Saggi (Director) advised on employment law aspects of the transaction.

Vijay Pratap Singh Chauhan (Partner) with the support from Rajat Sharma (Principal Associate) advised on competition law aspects of the transaction.

Nearly 2,000 Guardian India employees have transitioned to HCLTech under the deal, with HCLTech establishing a dedicated Strategic Business Unit focused exclusively on supporting Guardian. The unit will drive technology innovation, engineering excellence, operational transformation and maturity across Guardian's products and services.

Guardian and HCLTech have also entered into a new seven-year expanded strategic partnership, through which the companies aim to accelerate value realization and efficiency for Guardian through differentiated experiences and reduced friction, while creating AI-led solutions and IP for the insurance industry.
