Khaitan advises on Riddhi Siddhi Group JV with HIM Infra General Trading

RS Holdings Limited has entered into a shareholders’ cum joint venture agreement with HIM Infra General Trading LLC, pursuant to which RS and HIM shall hold 50:50 shareholding in the RSC Holding FZE, which owns Pure Cement as its wholly owned subsidiary.

The deal also involves a long-term limestone supply agreement between an RS affiliate and the ProjectCo, as well as a long-term clinker off-take agreement between HIM and the ProjectCo. The total consideration is $38 million.

Khaitan & Co advised Riddhi Siddhi group in relation to the shareholders’ cum joint venture agreement with HIM Infra General Trading LLC.
