Rajani Associates advises Modepro on acquisition by Refex

Refex Life Sciences Private Limited has acquired 100% of Modepro India Private Limited, transitioning the entity from its founding promoters (the Kavalam family) to the new corporate management.

Rajani Associates advised Modepro and its promoters, the Kavalam family, on this acquisition. The Firm's role included legal diligence handholding and advising clients on routine housekeeping and legal issues immerging out of the diligence exercise; advising clients on the hiving-off of certain identified assets of the Target Company; advising clients on the MIDC Agreements and their approvals; and preparing, negotiating, and finalizing the transaction and ancillary documents.

The transaction team consisted of Amish Shroff (Partner), Karen Issac (Principal Associate) and Ruchi Sethna (Senior Associate).

Modepro India Private Limited is a pharmaceutical company specializing in the manufacture of advanced intermediates for active pharmaceutical ingredients (APIs) and fine chemicals.
