Parijat Industries (India) Limited has acquired a retailer-focused digital commerce platform and associated retail database from PEAT GmbH, an agri-input portfolio company and subsidiary of HELM AG, Germany.
Shardul Amarchand Mangaldas & Co advised Parijat on the acquisition and on the overall transactional aspects of the strategic collaboration between the parties. The Firm advised on the transaction documentation, negotiations with HELM and its advisers, and on the transaction-specific legal matters through signing, closing and post-closing.
The transaction was led by Devesh Pandey (Partner), Abhiroop Datta (Partner) and Anushka Ganguli (Senior Associate).
Gouri Puri (Partner) and Rahul Yadav (Partner) advised on tax law aspects.
Apoorva Murali (Partner) and Anshika Chadha (Associate) advised on intellectual property aspects.
The acquisition also marks the beginning of a broader strategic collaboration between Parijat and HELM, spanning across digital commerce, branded crop protection products, technical manufacturing and international distribution.
The collaboration will enable the parties to leverage their respective sourcing, manufacturing and distribution capabilities across markets, while integrating digital commerce, product innovation and global supply-chain capabilities in the Indian agrochemical sector. As part of the arrangement, Parijat and its subsidiary, Leeds Life Sciences Private Limited, will also receive exclusive rights to use the HELM brand in India.
