Jupiter Wagons Limited and Jupiter Tatravagonka Railwheel Factory Private Limited have entered a strategic partnership involving the acquisition of an equity stake in the Jupiter companies by Lucchini RS and Simest.

Trilegal advised the Jupiter companies on this partnership. The Firm advised on all aspects of the transaction, including structuring, negotiation, drafting, and finalisation of the transaction documents, comprising of a shareholders' agreement, share subscription agreement, marketing agreement, technical support agreement, and supply agreement, which govern inter alia the terms of governance, and the technical, commercial, and marketing collaboration between the JV Partners.

The Trilegal Corporate team was led by Abhishek Guha (Partner) and Mahesh Wasadikar (Partner), with support from Yash Modi (Senior Associate) and Simran Chetwani (Associate).

The Trilegal Projects team was led by Neeraj Menon (Partner), with support from Kaneeka Mehta (Counsel), Arsha Jha (Senior Associate) and Yashaswi Belani (Associate).

JSA advised Lucchini Italy on this partnership. The firm's team comprised Partners Sandeep Mehta, Vishal Shah and Senior Associate Yash Shah.

The partnership is aimed at creating India's first fully integrated private-sector railwheel manufacturing platform, covering the complete value chain from raw material processing to finished railway wheels, axles and wheelsets, combining Jupiter Wagons' manufacturing capabilities with Lucchini RS's expertise in railwheel technology, engineering and metallurgy.

The transaction carries the backing of the Government of Italy under the Sistema Italia framework, coordinated by the Italian Ministry of Foreign Affairs. As part of the initiative, SIMEST, the internationalisation arm of the State -controlled CDP Group will participate as an equity investor, while CDP Group will provide dedicated financial and advisory support to Lucchini RS.
