PQE: 7+ years

Qualification: Graduate degree in law and registration with the relevant Bar Council to practice law in India.

Work model & location: Full-time, onsite role. Candidates must be available for active client and team engagement.

Job description

• Foresight Law Offices is seeking a driven and commercially astute lawyer to join its Corporate practice at the Principal Associate level.

• The role is designed for senior lawyers ready to take on end-to-end transaction ownership, direct client advisory, and meaningful practice contribution alongside the partner.

• The ideal candidate brings a balanced mix of corporate advisory and transactional experience, with the ability to independently manage matters while mentoring junior associates.

Key Responsibilities

Corporate advisory

Advising clients on general corporate, commercial, and regulatory matters; drafting, reviewing, and negotiating a range of commercial contracts including SHAs, SSAs, JVAs, business transfer agreements, transfer pricing agreements, service agreements, and vendor contracts; providing strategic inputs on structuring, governance, and compliance frameworks; and supporting clients on corporate restructuring and business expansion.

Transactional work

Handling M&A, private equity, and investment transactions end-to-end; conducting legal due diligence and preparing transaction reports; drafting and negotiating definitive transaction documents; coordinating with clients, opposing counsel, advisors, and regulators; and managing deal timelines through to seamless execution.

Candidate profile

• Candidates should have strong exposure to both corporate advisory and transactional work, with experience in mid-to-large value transactions preferred.

• Excellent drafting and negotiation skills are essential, as is a commercially pragmatic and solution-oriented approach.

• The ability to independently manage matters and mentor junior associates is a must.
