NLU Delhi, Mentblue launch Certificate Course on Mergers & Acquisitions: Due Diligence and Deal Making - Register Now!

India's M&A market has grown in scale, complexity and regulatory intensity. From private equity investments and share purchase transactions to schemes of arrangement and cross-border acquisitions, clients expect their counsel to navigate the full deal lifecycle with precision, from structuring and diligence to negotiation and closing. Day-one readiness in M&A practice is no longer aspirational; it is expected.

To address this, National Law University, Delhi (NLU Delhi), through its Centre for Regulatory Studies (CRS), has partnered with Mentblue to launch a Certificate Course on Mergers & Acquisitions: Due Diligence and Deal Making, part of The Practice Series, a joint initiative designed to take participants through an M&A transaction the way it actually unfolds inside a Tier 1 law firm.

What Will You Learn?

Module 1: M&A Foundations & Due Diligence. Life cycle of an M&A deal, due diligence framework, and document review with practical insights.

Module 2: Legal Framework & Primary Transaction Documents. Key concepts (guarantees, indemnities, damages, representations and warranties), key provisions under the Companies Act, and share purchase agreements and share subscription agreements.

Module 3: Deal Structuring & Investor Agreements. Shareholders' agreements, PE/VC deals (specific clauses and how M&A differs from PE/VC), and key provisions for listed companies (Takeover Code and insider trading).

Module 4: Regulatory, Tax & Negotiation. Tax aspects of M&A deals, and negotiation of transaction documents.

Module 5: Alternative Structures & Cross-Border Transactions. Business transfer agreements and asset transfer agreements, schemes of arrangement, and the FEMA regime for cross-border M&A.

Plus: Two dedicated assignment workshops (mid-course and final) with live drafting exercises, and a closing session on career opportunities, AI in M&A practice, and the career roadmap.
