Saraf and Partners advises JSW Infrastructure on acquisition of NCR Rail Infrastructure

JSW Infrastructure Limited has acquired NCR Rail Infrastructure Limited under corporate insolvency resolution process.

The acquisition was completed effective September 10, 2026, through JSW Infrastructure's step-down wholly owned subsidiary, Khurja Rail Terminal Private Limited, following implementation of the approved resolution plan.

Saraf and Partners acted as legal counsel to JSW Infrastructure in connection with the submission and successful implementation of its resolution plan. The Firm provided end-to-end support to JSW Infrastructure, including legal due diligence, structuring and finalisation of the resolution plan, and implementation assistance through completion of the transaction.

The transaction was led by Vivek Pareek (Partner), with support from Associates Rupam Das and Kevin Davis.

NCR Rail Infrastructure owns and operates a Private Freight Terminal (PFT) in Khurja, Uttar Pradesh, an important logistics asset serving the region. The facility comprises six rail lines and is located approximately 90 km from New Delhi and 40 km from the upcoming Jewar Airport. It also includes two covered, fully constructed and operational warehouses spanning approximately 0.2 million square feet, along with a land bank of approximately 130 acres. The facility is also strategically located near the Eastern Dedicated Freight Corridor and at the entry of the Western Dedicated Freight Corridor.
