Amarchand, Khaitan and Morrison Foerster act on Hitachi’s acquisition of IT firm Micro Clinic

Japanese conglomerate Hitachi, through its wholly owned subsidiary Hitachi Systems, has acquired 76% stake in Delhi-based Micro Clinic India for an undisclosed amount.

Khaitan & Co acted as Indian legal counsel for Hitachi with a team led by Delhi Partner Rajat Mukherjee.

Morrison & Foerster LLP (Tokyo office) acted as Japanese legal counsel for Hitachi with Partner Gary Mitchel Smith.

Amarchand Mangaldas acted for Micro Clinic with a team led by Partner Pooja Mahajan along Senior Associate Ishita Kapur and Associate Geetha Hariharan.

Amarchand IP Partners Ranjan Negi and Dev Robinson advised on the IP related aspects of the transaction while Principal Associate Amit Singhania along Senior Associate Surbhi Singhi and Associate Gouri Puri advised on the tax related aspects of the transaction.

Post-acquisition, Micro Clinic will be renamed as Hitachi Systems Micro Clinic Pvt Ltd. Both the companies will work closely with the Hitachi Group companies in India to expand the IT services business in the country, reports VCCircle.
