The Centre for Banking and Insurance Laws (CBIL) at National Law University Odisha (NLUO) has announced a single-credit virtual course on Corporate Laws and Capital Markets being conducted virtually from September 12, 2025, to October 4, 2025.

Led by Partner designate, Capital Markets, Corporate & Commercial and Mergers & Acquisitions, Luthra and Luthra, Saswat Mohanty as the resource person, the course offers a balance of doctrinal clarity with practical applications and comparative perspective. 

It aims to equip students with the foundational knowledge of corporate structures and regulatory frameworks governing incorporation, management, and compliance under the Companies Act, and the Listing Obligations and Disclosure Requirements (LODR).

With the increasing list of companies on the stock exchanges, the capital markets are seeing a boom. The recent flood of initial public offerings (IPOs) in the beginning of this year is a prime example of the same. This course shall familiarize participants with the legal and regulatory framework of capital markets in India, including share capital, securities issuance, disclosure requirements under ICDR, and the role of intermediaries.

Participants will gain a practical understanding of capital market transactions, such as drafting and interpreting a Draft Red Herring Prospectus (DRHP), analyzing financial statements, and understanding certifications, and audit responsibilities.

The course also provides comparative insights into international practices, particularly US securities laws helping contextualize Indian regulations within a global framework. 

Duration of the course

September 12, to October 4, 2025.

The course duration shall be 16 hours which shall be conducted over the span of four weeks with classes being conducted on Fridays and Saturdays of each week.

Students and Professionals: ₹500

Mode of Instruction

The course will be held in virtual mode to help facilitate greater participation.

Attendance Criteria

Participants are required to maintain a minimum attendance rate of 75% throughout the course, with attendance documented at the conclusion of each module or session.

Note: This virtual course mandates that only those meeting the attendance threshold will be eligible to undertake the Assessment Test.

Evaluation Procedure

The evaluation for this course will be conducted through an assessment test carrying a total of 50 marks. The structure of the test will be as follows:

  • Multiple Choice Objective Questions (MCQs): 50%

  • Subjective/Descriptive Questions (divided across short and long-answer questions): 50%

The mode of the test shall be online. The timings of the same shall be notified in the due course.

Last Date for registration

The last date for registration for the course is September 10, 2025. All interested participants are required to complete the registration process by this date. No registrations shall be accepted thereafter.
