JSA advised Unimech Aerospace on $47 million acquisition of Hobel Bellows

The acquisition will enhance Unimech’s expertise in producing higher-value engineered assemblies and sub-systems.

Unimech Aerospace and Manufacturing Limited, a;ong with its wholly owned subsidiary, Innomech Aerospace Toolings Private Limited, have acquired Hobel Bellows Private Limited as well as made an indirect acquisition of Hobel Bellows Co., a partnership firm, for $47.06 million.

JSA Advocates & Solicitors advised Unimech Aerospace and Manufacturing and Innomech Aerospace Toolings, on this acquisition. The Firm's role involved conducting due diligence on the target entity, drafting and negotiating the transaction documents and assisting Unimech on signing and closing matters.

The transaction team consisted of Archana Tewary (Lead Partner) and Naveen Kumar (Associate).

Unimech Aerospace and Manufacturing Limited

Unimech is engaged in manufacturing of precision tooling equipment, assemblies, sub-assemblies as well as mechanical and electromechanical components for its clients in the aerospace, energy, semiconductor and other allied industries.

Hobel Bellows is a specialized manufacturer of metallic bellows, expansion joints, flexible tubing, sheet metal fabrications, and precision assemblies serving industries like automotive, locomotive, power transmission, and water & gas. Operating from a 180,000 sq. ft. facility in Duvvada SEZ, Visakhapatnam, it has strong in-house design and testing capabilities. With about 90% export-oriented business, Hobel Bellows maintains long-term relationships with global OEM customers.

The acquisition will enhance Unimech’s expertise in producing higher-value engineered assemblies and sub-systems, according to a statement. Additionally, it will provide access to advanced manufacturing techniques including hydroforming, thin-wall metal forming, high-temperature alloy processing, precision TIG welding, multi-layer metal forming, as well as fatigue and leak testing.
