JSA advises Toppan on acquisition of Sonoco

The global deal value of the transaction is $1.8 billion.

JSA has advised and assisted TOPPAN Holdings Inc. on the India related aspects in its proposed acquisition of Sonoco Products Company to acquire Sonoco’s Thermoformed, Flexible Packaging & Trident business on a cash-free and debt-free basis and subject to customary adjustments.

The parties have entered into definitive agreements in relation to the proposed acquisition and the closing will take place in future.

The JSA team was involved in conducting comprehensive legal due diligence of Sonoco Graphics India Private Limited (an Indian subsidiary of Sonoco Products Company),  structuring the India leg of the transaction including advising on issues pertaining to foreign direct investment and providing strategic guidance on competition law considerations related to the transaction.

The transaction team consisted of Trisheet Chatterjee (Lead Partner), Sarvesh Kumar Saluja (Partner), Kaishori Raut (Senior Associate), Neeral Jain (Associate), Sourish Bagchi (Associate) and Purboday Patitundav (Associate).
