Bajaj Electricals Limited has acquired the 'Morphy Richards' brand and its associated intellectual property rights from Glen Electric Limited, in India, Bhutan, Bangladesh, Nepal, Sri Lanka and the Maldives, for a total consideration of ₹168 crore.
Khaitan & Co advised Bajaj Electricals on this acquisition. The Firm assisted with the drafting, review and negotiation of the Sale and Purchase Agreement in relation to the acquisition of the Morphy Richards trademarks, together with the associated goodwill, domain names and social media accounts in India, Sri Lanka, Bangladesh, Bhutan Nepal and the Maldives.
The transaction team consisted of Nishad Nadkarni (Partner) and Riya Karkera (Associate).
Shardul Amarchand Mangaldas & Co advised Glen Electric on this transaction. The transaction involves a multi-jurisdictional IP assignment—including trademarks, domain names, and social media accounts—across India, Nepal, Bhutan, Bangladesh, the Maldives, and Sri Lanka.
