TLH Advocates advises MosChip on ₹245 crore stake acquisition in Vayavya Labs

The acquisition significantly strengthens MosChip's software-led Product Engineering Solutions business.

MosChip Technologies Limited is set to acquire a 73% controlling stake in Vayavya Labs Private Limited for an aggregate consideration of ₹245.49 crore, subject to receipt of all requisite statutory, regulatory and other approvals.

TLH, Advocates & Solicitors advised MosChip on this acquisition.

The transaction team was led by Yasasvi G.V. (Partner), with support from Aditi Duggal (Senior Associate), and Associates Kapil Devnani, Shipra Agrawal and Srujana Kuchimanchi.

MosChip is a leading silicon and product engineering services company with over two decades of experience delivering end-to-end product design and development.

Vayavya Labs is a “silicon-to-system” engineering services company with expertise spanning across semiconductors, consumer electronics, automotive, electronic design automation, and communications, and a presence in key international markets such as the United States, Europe, Israel, and Japan.

The acquisition significantly strengthens MosChip's software-led Product Engineering Solutions business, with synergies spanning embedded software, ADAS validation, automotive functional safety, and virtualization technologies, a combined delivery footprint across six strategic locations in India and the United States, and cross-sell opportunities across both client bases. Post-acquisition, MosChip is expected to scale beyond 2,000 employees with an expanded global delivery footprint.
