JSA assists Samvardhana Motherson in the acquisition of Rollon Hydraulics

Samvardhana Motherson International Limited has acquired 100% stake in Rollon Hydraulics Private Limited for an aggregate purchase consideration of ₹103.10 crores.  

JSA assisted Samvardhana Motherson in this acquisition deal. The transaction involved extensive negotiations and discussions with Rollon and JSA was involved in all aspects of the transaction which involved due diligence on the operations of Rollon, negotiating transaction documents on behalf of the Samvardhan Motherson and advising on the structure to be adopted.

The transaction team consisted of Vivek K Chandy (Joint Managing Partner), Ajay G Prasad (Partner), Sneha Mohanty (Associate) and Megha Kumari (Company Secretary).

The Due Diligence team consisted of Ajay G Prasad (Partner), Saurya Bhattacharya (Partner), Preetha S (Partner), Sneha Mohanty (Associate), Megha Kumari (Company Secretary) and Thomas G. Kolath (Associate).

Samvardhana Motherson, through its Precision Metals & Modules business division, is a leading supplier to the automotive and non-automotive industry. Its manufacturing facilities across India and Mexico for precision machining are equipped with state-of-the-art CNC machines and highly customised special purpose machines, supported by surface treatment and metrological measuring facilities. They have specialised technology and expertise for precision machining parts with capabilities like turning, drilling, grinding, milling tools and machining etc.

Rollon is engaged in manufacturing, assembly and supply of high precision turned parts, spools, and other machined components with critical engineering applications for the Agriculture and Off-Highway segment from its two facilities based out of Bengaluru (India).
