Khaitan & Co advises TCC on acquisition of Pepperfry

Khaitan & Co has advised TCC Concept Limited in its acquisition of 95.18% stake in Pepperfry Limited, India's largest omnichannel furniture and home goods marketplace, from its existing shareholders.

The transaction team was led by Gautam Suseel (Partner), Neekesh Shetty (Principal Associate), Aanchal Khandelwal (Associate) and Pooja P N (Associate) with assistance from:

Abhishek Dadoo (Partner), Anvita Mishra (Counsel) and Diya Dave (Associate) on regulatory aspects;

Ashutosh Sharma (Partner), Deepak Kumar (Partner), Ifrazunnisa Khan (Principal Associate), Akshay Madan (Senior Associate), Associates Ananya Gandhi, Devyani Modi, Radhika Goenka, Varsha Sankara Raman, Ankur Jhunjhunwala and Ishaan Nagarkatti on due diligence and transaction structuring aspects; and

Anshuman Sakle (Partner), Soham Banerjee (Counsel) and Vrinda Bhardwaj (Associate) on anti-trust aspects.

Pepperfry is engaged in running a well-known Indian online marketplace for furniture and house décor.

This acquisition has significantly strengthened TCC Concept’s presence in the e-commerce sector and digital marketplace place. It aligns with TCC’s strategy of building technology-enabled consumer platforms.
