Rajani Associates advises Jayant Infratech on issuance of fully convertible warrants

Jayant Infratech Limited has issued fully convertible warrants valued at approximately ₹25 crore on preferential basis to pre-identified group of investors.

Rajani Associates acted for and advised Jayant Infratech on this transaction. The Firm's scope of work included: (i) Advising on the structure of the transaction in light of applicable laws; (ii) Assisting the clients to achieve closure of the Transaction by preparation of the documents including Board/ shareholders resolutions, notices of postal ballot, requisite intimations, outcomes, Issue Summary Documents (ISD) to be filed with BSE, from time to time, by the Company, letters, undertakings and other ancillary documents; (iii) assisting the client in preparation of documents w.r.t. to making application for in-principle approval; (iv) co-ordinating with registered valuers for finalization of valuation report and for providing clarifications to BSE with respect to the valuation methods; (v) review and revisions of (a) newspaper publications and (b) documents with respect to corporate actions in regard to the transaction and to be submitted with RT&A and Depositories; (vi) assisting in the preparation of offer letter to be circulated to the identified investors; (vii) addressing the queries and concerns of the Stock Exchange.
