AZB, Cyril Amarchand, Trilegal act on Nykaa IPO

The deal also comprised an offer for sale of over 4 crore equity shares by the selling shareholders

After the markets regulator SEBI's recent go-ahead to certain companies to launch their IPOs, FSN E-Commerce Ventures (Nykaa) launched its IPO comprising a fresh issue aggregating up to approximately ₹6,300 million, and an offer for sale of up to 41,972,660 equity shares by the Selling Shareholders.

AZB & Partners is Legal counsel to the Issuer and Promoter Selling Shareholder, Sanjay Nayar Family Trust.

The team included Founder & Managing Partner Zia Mody, Senior Partner Varoon Chandra, Partners Lionel D’Almeida and Roxanne Anderson. Senior Associate Sweta Ananthanarayanan assisted with the transaction.

Kotak Mahindra Capital, Morgan Stanley, Bofa Securities, Citi, ICICI Securities and JM Financial are the i-bankers working on the issue.

Cyril Amarchand Mangaldas is advising the i-bankers and Sidley Austin LLP is the international counsel to the lead managers.

Trilegal is advising the investor selling shareholder. The Trilegal team advising on the IPO comprised Partners Richa Choudhary, Bhakta Patnaik and Associates Maitreya Rajurkar and Sanya Chaudhari. The corporate team on the transaction comprised Partners Yogesh Singh, Ankush Goyal and Associate Rohan Kohli.

The list of key selling shareholders include Sanjay Nayar Family Trust, private equity firm TPG Growth, Lighthouse India, Sunil Kant Munjal, J M Financial and Investment Consultancy Services Private Ltd, Yogesh Agencies & Investments Private Limited, Harindarpal Singh Banga jointly with Indra Banga and others.
