Desai & Diwanji advises RG Mobility on a comprehensive full-lifecycle mandate

Desai & Diwanji advised RG Mobility Private Limited, backed by Resource Group LLC, Russia, on a comprehensive full-lifecycle mandate in connection with their electric mobility public transport initiatives in India. 

The first project bagged by RG Mobility has been the supply, operations and maintenance of electric buses to Uttar Pradesh State Road Transport Corporation (UPSRTC) to enhance their public transport services in the State of UP where the bus operations commenced recently.

The mandate from RG Mobility covered the entire journey from incorporation of RG Mobility in 2024 through commencement of operations. The firm advised on corporate structuring and establishment, equity infusion by the parent entity, and related high-level foreign exchange and regulatory compliances. Desai Diwanji also represented RG Mobility in the negotiation, documentation and closing of a credit facility with Sberbank (India branch). 

In parallel, the firm advised on the public procurement process with UPSRTC, including application-stage support, tender documentation, commercial and legal negotiations, and execution of the final tender agreements. 

The mandate further extended to operational readiness and downstream contracting, including manpower and staffing arrangements, OEM and bus supply agreements, and other key operational contracts necessary for the rollout of the project in UP.
