JSA Advocates & Solicitors and IndusLaw have acted on the 100% staggered acquisition of transportation and logistics business, CriticaLog India Private Ltd, by Shadowfax Technologies Private Limited.

JSA advised the Promoters of CriticaLog and its key investor LoGon Investments GmbH on their sale of 100% shares to Shadowfax.

The JSA Corporate team was led by Raj Ramachandran (Lead Partner) and Santosh Vijay (Partner) with support from Associates, Mannat Nirola and Shashank Uppalapati.

The JSA Taxation team comprised of Kumarmanglam Vijay (Partner) and Tejasvi Shukla (Associate).

IndusLaw advised Shadowfax on this acquisition.

The transaction team consisted of Stuti Agarwal (Partner), Surbhi Joshi (Senior Associate), Krithika R Bhandari (Associate) and Wilfred Synrem (Associate), with support from the following:

CriticaLog is a critical logistics service provider and is engaged in high-value shipments, including electronics, pharmaceuticals, automobile spare parts, etc and it has an industry-leading 0% loss rate for high-value goods.

Shadowfax provides logistics solutions for a variety of industries, and it presently offers third-party logistics services to D2C brands and e-commerce businesses in more than 2,500 locations and 18,000 pin codes.

The acquisition enables Shadowfax to expand its service offerings by integrating CriticaLog’s expertise in handling critical logistics across sectors such as healthcare, automotive, engineering, luxury goods, and IT supply chains. CriticaLog serves over 400 organizations, including Fortune 500 companies, and is recognized for its specialized handling of sensitive goods like electronics, pharmaceuticals, automobile spare parts, and jewellery
