Khaitan & Co advises NecLife on sale of business to Ceph Lifesciences

NecLife is a leading global manufacturer of cephalosporin antibiotics medicines.

Nectar Lifesciences Limited (NecLife) has sold their business of manufacturing, distribution, marketing and sale of active pharmaceutical ingredients and formulations to Ceph Lifesciences Private Limited, as a slump sale on a going concern basis; as well as their menthol business assets.

Khaitan & Co advised NecLife on sale of the API business as well as the sale, transfer and delivery of the menthol business to Ceph. The firm advised NecLife on all legal aspects of the transaction including the structuring and documentation for the transaction.

The core deal team consisted of Bhavik Narsana (Partner), Rutvik Shukla (Senior Associate), Associates Pragya Mishra and Kamayani Mittal.
