Sarthak Advocates advises HUL on acquisition of palm oil business of Vishwatej Oil

Sarthak Advocates and Solicitors advised Hindustan Unilever Limited (HUL) on the acquisition of palm oil business of Vishwatej Oil Industries Private Limited.

The Firm provided comprehensive, end-to-end support throughout the transaction, with legal due diligence with physical inspection, transaction structuring, advisory on palm oil regulations and drafting and negotiation of transaction documentation.

The transaction team was led by Abhishek Nath Tripathi (Managing Partner), with contributions from Anil Khanna (Senior Associate), Adesh Mishra (Associate) and Saksham Gulati (Associate).

Hindustan Unilever Limited

HUL's board on January 22, 2025 approved the acquisition of the palm undertaking of Vishwatej Oil Industries Private Limited, located in Kamareddy district, Telangana.

Palm and its derivatives are essential raw materials for HUL’s Personal Care, Beauty, and Home Care products, with most supplies currently imported from Indonesia and Malaysia. Through this acquisition, HUL aims to strengthen its supply chain resilience by integrating palm sourcing locally. This move also aligns with India’s National Mission on Edible Oils to promote self-reliance in palm oil production.

As part of its plan, HUL will establish sapling nurseries, collection centres for fresh fruit bunches, and a state-of-the-art palm oil mill in Telangana. The company will also launch a farmer outreach programme, offering technical support and training in sustainable and regenerative agricultural practices to enhance palm oil cultivation.
