Bar & Bench

Sarthak Advocates & Solicitors represented Waaree Energies Limited in its strategic acquisition of Enel Green Power India Private Limited along with its Special Purpose Vehicles (SPVs) for ₹792 crore.

The Firm advised Waaree at all stages of the deal, from due diligence to transaction structuring and transaction document negotiation.

The transaction team was led by Abhishek Nath Tripathi (Managing Partner), who was ably assisted by Avantika Shukla (Principal Associate), Anil Khanna (Senior Associate), Adesh Mishra, Utkarsh Mishra, Akash Garg, Saksham Gulati, Dhruvi Patni, Etesh Verma, Durgesh Gaud and Yashika Chawla (Associates).

Manoj Sinsinwar, Chief Legal Officer of Waaree, led the Waaree legal team on this transaction.

Waaree Energies Limited

This acquisition allows Waaree Energies to substantially expand its footprint in India's renewable energy sector. EGPIPL's portfolio, which includes approximately 640 megawatts (MWAC) of operational solar and wind projects, provides Waaree Energies with an immediate and substantial boost to its independent power producer (IPP) business.

Waaree Energies, a prominent player in India's solar photovoltaic (PV) module manufacturing, is strategically expanding its role in the broader renewable energy landscape. The purchase of EGPIPL, from Enel Green Power Development S.r.l., one of Europes largest renewable energy companies, gives Waaree Energies a large portfolio of already working solar and wind energy production sites throughout India. This will enable Waaree energies to become a much larger producer of green energy.
