Shardul Amarchand Mangaldas, Khaitan, Davis Polk act on Crystal Crop Protection's ₹2,268 crore acquisition of FMC India

This acquisition enhances Crystal’s capacity to provide advanced crop protection solutions in both chemical and biological fields.

Crystal Crop Protection Limited has acquired 100% shareholding of FMC India Private Limited from FMC and its group entities for approximately ₹2,268 crore.

The transaction also involves the acquisition of FMC India’s commercial operations in the crop protection business in India, including a license to FMC’s brands sold in India.

Crystal will also receive preferred supply arrangements for certain FMC active ingredients and formulated products, along with preferred access to FMC’s pipeline of active ingredients in India for the crop protection field. 

Shardul Amarchand Mangaldas & Co advised Crystal Crop Protection on this acquisition. The Firm advised on all aspects of the transaction, including advising on the transaction structure, drafting, reviewing and negotiating the share purchase agreement, intellectual property license agreement, innovation access agreement, supply agreements, transition services agreement, and other ancillary transaction documents.
