We are seeking a seasoned Senior Associate – Corporate, with 5–6 years of post-qualification experience specializing in Energy Law within the Indian legal and regulatory landscape.
The ideal candidate will have a strong foundation in corporate legal practice, particularly in transactional work and agreement drafting, with significant exposure to the energy sectors, including renewable and conventional energy projects.
Key Responsibilities:
Provide end-to-end legal support on energy sector transactions, including regulatory, commercial and corporate aspects.
Draft, review and negotiate a wide range of agreements such as: (a) Shareholders’ Agreements (SHAs) (b) Share Purchase Agreements (SPAs) (c) Joint Venture Agreements (d) Power Purchase Agreements (PPAs) (e) EPC and O&M Contracts (f) Term Sheets, NDAs, MOUs and other commercial contracts
Conduct legal due diligence and risk assessments in M&A and investment transactions across the energy value chain.
Advise on corporate structuring, regulatory approvals, licensing, land acquisition issues and project development documentation.
Monitor and interpret applicable laws, rules and regulations, including under the Electricity Act, CERC/SERC regulations.
Assist in liaising with relevant authorities.
Work closely with internal teams (corporate and litigation) and external stakeholders to facilitate deal closures.
Mentor junior associates and actively contribute to knowledge-building within the firm.
Key Requirements:
- LL B from a leading Indian law school; LL M in Corporate or Energy Law (optional, preferred).
- 5–6 years of hands-on experience in a top-tier law firm or in-house legal department with a focus on corporate transactions and energy law.
- Deep understanding of project documentation, regulatory issues and corporate governance.
- Demonstrated expertise in drafting, negotiating and advising on complex agreements and deal structures.
- Strong legal research, analytical and commercial negotiation skills.
- Proficient communication and stakeholder management capabilities.
