Singhania & Partners LLP is looking to hire a Senior Associate - Corporate in Delhi.

Positions: One

PQE: 4-7 Years

Location: New Delhi

Qualification: L.L.B.

Job Description

  1. Good knowledge of corporate and commercial laws like Companies Act, Contract Act, TPA, FEMA, LLP Act, Food laws, drugs and cosmetics related laws, etc. Transactional experience in M&A, JV, PE, etc.

  2. Experience in conducting full-blown legal due diligence, drafting of representations and warranties, disclosure letter, etc.

  3. Experience in drafting and vetting contracts like SHA, SPA, JVA, SSA, TTA, Escrow.

  4. Agreements, Vendor Contracts, Assignment Agreements, Financing Agreements, etc.

  5. Hands-on knowledge of statutory corporate compliances.

  6. Experience in collaborating with US and EU clients.

Skills

  1. Proven ability to work in a client-centric, deadline-driven environment.

  2. Organizational and time management skills. Ability to prioritize and coordinate multiple projects.

  3. Drafting and negotiation of contracts.

  4. Excellent verbal and written communication skills in English.

  5. Proficient use of Ms. Office tools.

  6. Ability to work in a team and nurture younger colleagues.

CS (Company Secretary) is an added advantage.

Remuneration: Negotiable.
